Your attendance at this Retreat is subject to you accepting each of the terms and conditions contained within this agreement, and subject to all parts and sub parts.  By choosing to participate and purchase this Retreat, you are confirming your attendance, or any other affirmative action which indicates your intent to attend this Retreat, including providing the Organizer and Retreat Leader your credit card and billing information to be charged for your attendance, you acknowledge and agree you are entering in to a legally binding agreement with the Organizer and Retreat Leader.

Section 1: Retreat Terms:

Details of Retreat: This is a 7-Day Transformational Retreat (“Retreat”) experience in the Heart of Morocco, Designed for Service-Based Professionals

Date: September 27th - October 3rd, 2025

Location: Morocco – from arrival to departure, including the following major stops: Casablanca (1 night), Fes (1 night), Midelt (1), and Merzouga (3 nights).

Name: The Sahara Soul Awakening Retreat

Duration: 7 days / 6 nights

Departure Date: September 26, 2025 – most flights into Casablanca from the US are overnight flights, so departure on September 26, 2025 is necessary to ensure you arrive when the Retreat begins on September 27, 2025.

Return Date: October 3, 2025 – the Retreat will officially end on this date and transportation back to the Casablanca airport will be arranged for you. If you wish to extend your stay in Morocco after the Retreat that is over, you have that option.

Total Fees: $8497, unless the Early Bird Discount of $1500 applies, then total fees are $6997.

Event: This is a 7-day, 6-night Retreat experience in Morocco, primarily in Merzouga, a small town in the Sahara Desert. The goal is to help participants relax and come into stillness so they can refocus on themselves, their passion for their life and their work and take that renewed energy with them once they return back home. These changes are facilitated through a combination of individual and group activities, as well as time spent outdoors in nature walking, meditating, interacting with and appreciating the natural environment. Adjustments to the itinerary may be made due to weather conditions, acts of God, or other unforeseen circumstances.

The Retreat experience includes all accommodations for six nights, and all meals from pickup on Sunday through dinner on Friday evening.

This Retreat experience may involve a fair amount of walking as well as other outdoor activities like camel riding or driving ATVs, weather depending. The majority of the walking around the camps and in the desert is on sand, so please be prepared and bring appropriate footwear.

Moderate physical condition is required to climb up and down the dunes, although for the most part climbing is optional. Engaging in the outdoor activities with the group is encouraged; however, it is optional and up to the discretion of the participant. Alternate arrangements can be made if necessary.

The Retreat experience will take place in the Fall. Average temperatures in Morocco in early October range from mid-50s F in the evenings to mid-80s F during the daytime. Please plan accordingly in terms of both clothing and appropriate footwear. It is recommended to dress in loose comfortable layers to stay comfortable, as well as bring a hat or head scarf, sunglasses and sunscreen.

Additional details regarding the Retreat, such as other information about included meals and amenities, transportation, etc., if applicable, will also be included on a page shown to you prior to full purchase or provided to you through emails and additional communications prior to the Retreat. Any such page is hereby incorporated by reference and shall be considered part and parcel of this Agreement.

As a participant you will agree to participate to the best of your ability in the group exercises and activities and adhere to the group schedule. You will exhibit an attitude of openness and curiosity, and demonstrate respect toward yourself, the Organizer and Retreat Leader, other participants, the space and the environment.

The Organizer and Retreat Leader will establish the container, facilitate group activities, determine the schedule, organize meals, be available for questions and support as needed, as well as manage any other situation required to ensure a smooth group Retreat experience.

In addition to agreeing to these terms, both an electronic acknowledgment of the terms and conditions as listed on the sales page at the time of booking, and this signed Retreat Agreement [LK1] [LM2] are required prior to the beginning of the Retreat.


Section 2:  Confirmation of Purchase

In order to fully purchase this Retreat–the following steps must be taken:

*Guest will get Retreat information from the website https://lesley-martin-coaching.myflodesk.com and fully complete the Retreat package purchase.

*Guest will then receive a confirmation email which outlines the details of your purchase. If you do not receive one within 5 days of your purchase, please contact the Organizer and Retreat Leader.

*Organizer and Retreat Leader will provide details by communication and may do so in questionnaires, emails and/or other communications. You consent to receive all communications. 

*Please be advised that the itinerary can be changed at any time, and can be modified by the Organizer or Retreat Leader. You acknowledge and consent to the Organizer and Retreat Leader doing this practice for any reason–including and not limited to weather, conflicts with vendors and third parties, and any circumstances which the Organizer or Retreat Leader deems unfit for travel.  

Section 3: Payment

At the time of booking the Retreat, you must provide a deposit of the following amount: $1,000.00 ("Deposit").

The Retreat must be booked and the Deposit paid prior to the following date: June 29, 2025.

The Deposit and all fees are nonrefundable. If you cancel your spot in the Retreat, you will not be entitled to any refund of the Deposit or any additional fees paid. If the Retreat is booked by you after the date listed above, the Total Fees for the Retreat are due at the time of booking.

The entirety of the Total Fees must be paid the following amount of time prior to the departure date of the Retreat: by July 31, 2025, approximately 2 months before the start of the Retreat. If the Total Fees are not received by Organizer and Retreat Leader by the date listed above, your spot may be canceled without prior notice to you.  

Section 4:  Travel Insurance

All guests are required to purchase and maintain travel insurance during the entire length of the Retreat (including through the return date).

Guests are individually responsible for paying for travel insurance and ensuring adequate coverage.

Coverage should include, but not be limited to: illness, injury, property damage, loss of personal items, death, cancellation and any other potential losses, damages, expenses, and/or liabilities.

Organizer and Retreat Leader is not responsible or liable for any loss, damage, expense, cost, or any other travel issue. You will not be permitted to travel on the Retreat without providing proof of travel insurance.

Section 5:  Cancellations

As noted above, Organizer and Retreat Leader reserves the right to cancel if Total Fees are not received by the following amount of time prior to the departure date of the Retreat: by July 31, 2025, approximately 2 months before the start of the retreat.

If such a cancellation is undertaken, you are not entitled to receive your Deposit back or any other fees paid to that date.

Organizer and Retreat Leader may also cancel the Retreat for any reason, unrelated to an individual Guest, in the Organizer's sole and exclusive discretion.

If Organizer and Retreat Leader cancels for any commercial reason, all Guests are entitled to receive back any and all monies paid to the Organizer.

However, Organizer and Retreat Leader shall not be responsible for any additional fees paid by Guest to any third parties, such as travel companies, airfare, etc. If Guests wish to cancel, written notice of such cancellation must be sent to Organizer and Retreat Leader via email. As noted above, in the event of Guest cancellation, no fees will be returned.

Section 6: Voluntary Physical Participation, Waiver & Informed Consent

You hereby acknowledge and agree that you will voluntarily be participating in certain physical activities ("Physical Activities") on the Retreat. You do understand that every person has a different capacity for participating in such activities and services. You understand that services offered are recreational in nature, and you accept and assume full responsibility. You do hereby further declare yourself to be physically sound and suffering from no condition, impairment, disease, infirmity, or other illness that would prevent your participation in group activities during the Retreat.  

You hereby also recognize that by utilizing the Retreat services, various Physical Activities may include, but are not limited to: walking, swimming, hiking, camel riding, climbing, driving ATVs, or other types of moderately strenuous physical activities. In the course of any such Physical Activities, you may experience some potential health risks, including but not limited to: transient light headaches, fainting, abnormal blood pressure, chest discomfort, leg cramps, sprains and strains of the musculoskeletal system, difficulty breathing, heart attack, nausea and other illness, discomfort or injury and that you knowingly assume all risks. These risks may lead to tangible or intangible harm, and you agree that they may result not only from your own actions but also from the actions of others. With the knowledge and understanding of these risks, you choose, of your own will and volition, to continue participating in the Physical Activities. You do understand that you may stop or delay your participation in the activity if you so desire, and that you may also be required to stop and rest by anyone who observes any signs or symptoms of distress or abnormal response.

You also acknowledge and agree that there are risks that you may not have considered, yet you waive your right to any claims that may occur from these unconsidered risks and choose, of your own will and volition, to participate in the Physical Activities. You understand that physical exercise is a potentially dangerous activity involving risk of injury and even death. Your participation is fully voluntary with knowledge of the dangers involved. You do hereby and expressly assume and accept any and all risks of injury and death. You acknowledge and agree that by attending the Retreat you consent to waive certain legal rights, including the right to sue the Organizer and Retreat Leader, and, if applicable, its owners, employees, agents, trainers, representatives, and facilities from any physical, material, tangible or intangible, loss or damages that may happen to you during your participation in any of the Physical Activities undertaken while under their instruction or thereafter.

Section 7: Health Eligibility

Your participation in the Retreat indicates your acknowledgment and agreement with, as well as your warranty of the following:

(a) It is my responsibility to consult a physician before participating in this or any Retreat to ensure my eligibility for moderately strenuous Physical Activity and I affirm that I have no medical conditions that would restrict me from participating in any of the Physical Activities.

(b) I agree to hold the Organizer and Retreat Leader, and if applicable, its employees, owners, agents, trainers, and representatives, harmless from any damage, whether tangible or intangible, that may happen to me while participating in the Retreat. Such injuries may include, but are not limited to, muscle strains, muscle sprains, muscle spasms, heart attacks, raised blood pressure, and broken, fractured, or dislocated bones.

(c) I agree that if I do experience medical issues, I will contact my doctor immediately.

(d) I agree and verify that all of the information that I have given the Organizer and its representatives is accurate, up-to-date, and without the omission of any known medical issues.

(e) I agree and verify that If I have omitted any necessary personal information, whether knowingly or unknowingly, I will hold the Organizer and Retreat Leader harmless against all liability for any damages that may occur to myself or to others because of my actions or inactions.

(f) I agree to keep the Organizer and Retreat Leader apprised of any changes or upcoming changes concerning my physical health and personal information.

(g) I understand and agree that it is my responsibility to let the Organizer and Retreat Leader know if I find myself in any pain or discomfort before, after, or during the Retreat.

(h) If I do require medical treatment or attention while or after participating in the Retreat, I agree that the medical costs are mine and mine alone and hold the Organizer and Retreat Leader blameless from any charges, fees, or costs that my conditions may incur.

(i) I specifically acknowledge and agree that these clauses are not intended to be a general release, which would be limited under some state and local laws.

Section 8:  General Assumption of Risk:

You agree and understand that your participation in the Retreat may involve risks.

These risks may lead to tangible or intangible harm, as discussed above.

Additional risks, such as those risks involved in being in another country, a country where medical services are not available, or a country with an unsteady political, cultural, or geographical climate, may also be present. 

It is your responsibility to familiarize yourself with all possible risks involved in participation in the Retreat.  You agree that Organizer and Retreat Leader is not liable, to the fullest extent permissible by law, for any harm that may come to you due to your participation in the Retreat.

YOU ACKNOWLEDGE THAT YOUR DECISION TO ATTEND THE RETREAT IS MADE WITH FULL KNOWLEDGE OF ALL INFORMATION DESCRIBED ABOVE AND THAT YOU ARE ATTENDING OF YOUR OWN WILL AND VOLITION. YOU AGREE TO BE THE SOLE PARTY RESPONSIBLE FOR ASSUMPTION OF ALL RISK INVOLVED IN CONNECTION WITH THE RETREAT. IN NO EVENT WILL ORGANIZER BE LIABLE FOR ANY LIABILITIES ARISING FROM OR IN CONNECTION WITH YOUR PARTICIPATION IN THE RETREAT. 

Section 9:  Contact Information and Notices:

Any notices made under this agreement shall be provided to Organizer and Retreat Leader as follows by EMAIL:

Any notices made under this agreement shall be provided to Guest by EMAIL at the email address Guest provides during the booking process.

Section 10:  General Use

Guest agrees not to use the Website or Retreat for any unlawful purpose or any purpose prohibited under this clause.

Guest agrees not to undertake any action which may damage the Organizer and Retreat Leader in any way.

Guest further agrees not to use the Website or Retreat:

(a) To harass, abuse, or threaten others or otherwise violate any person's legal rights;

(b) To violate any intellectual property rights of the Organizer and Retreat Leader or any third party;

(c) To upload or otherwise disseminate any computer viruses or other software that may damage the property of another;

(d) To perpetrate any fraud;

(e) To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme;

(f) To publish or distribute any obscene or defamatory material;

(g) To publish or distribute any material that incites violence, hate, or discrimination towards any group;

(h) To unlawfully gather information about others

Section 11:  Release of Liability

Guest hereby releases Organizer and Retreat Leader, as well as any of Organizer's affiliates, licensors, suppliers, subsidiaries, parents or other legal representatives, from any claims, demands, damages or other legal action which may arise from Guest's dispute with any other Guest.

Section 12:  Termination

This Retreat Agreement shall continue until canceled as specified above by either Party or until the Guest attends and completes the Retreat. Any provision of this Agreement which by its terms imposes continuing obligations on either of the parties shall survive termination of this Agreement.

Section 13: Restrictions

Guest is prohibited from selling or reselling Guest's space in the Retreat, unless Guest has specifically executed a written agreement with Organizer that expressly allows for such activity.

Section 14:  Indemnifications

Guest agrees to defend and indemnify Organizer and Retreat Leader and any of its affiliates (if applicable) and hold them harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to Guest's use or misuse of the Website, Guest's attendance at the Retreat, Guest's breach of this Agreement, or Guest's conduct or actions. Guest agrees that Organizer and Retreat Leader shall be able to select its own legal counsel and may participate in its own defense, if so desired.

Section 15:  Dispute Resolution

In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted in the county and state noted in the GOVERNING LAW provision of this Agreement. The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add Parties, vary the provisions of this Agreement, award punitive damages, or certify a class. The Organizer and Retreat Leader shall have the option to add parties to the arbitration based upon her sole election. The arbitrator shall be bound by applicable and governing federal law as well as the law of New York. Each Party shall pay their own costs and fees. Claims necessitating arbitration under this section include, but are not limited to: contract claims, tort claims, claims based on federal and state law, and claims based on local laws, ordinances, statutes or regulations. Intellectual property claims by the Organizer and Retreat Leader will not be subject to arbitration and may, as an exception to this sub-part, be litigated. The Parties, in agreement with this sub-part of this Agreement, waive any rights they may have to a jury trial in regard to arbitral claims. 

Section 16:  Governing Law

This Agreement shall be governed by and construed in accordance with the internal laws of New York State without giving effect to any choice or conflict of law provision or rule. Each party irrevocably submits to the exclusive jurisdiction and venue of the federal and state courts located in the following county: USA.
